AZZ's electrical equipment and specialty welding services businesses – spanning four business units (Enclosures, Bus and Lighting, Switchgear, and Specialty Welding) – needed to be carved out and taken private on a tight timeline, with no standalone infrastructure of their own.

The story

Every function had to be built from scratch at once – finance, legal, IT, HR, and customer-facing operations all separating from the parent cleanly, on the same timeline, without disrupting the business. Ayna ran the carve-out end-to-end across seven work streams, building NewCo's standalone infrastructure from day one and closing the deal in under 4 months against a 6-month plan.

Our Approach

Deal & Financial Setup

  • Scoped the BU, products, customers, contracts, and IP, and built a carve-out thesis for standalone and RemainCo
  • Built standalone financials (P&L, balance sheet, cash flow), resolved cost treatments (shared/allocated costs, stranded costs), modeled NewCo's cost structure, and built NewCo's forecast and day 1 balance sheet

Legal, People & Systems Separation

  • Built the legal step plan (new entities, asset vs. stock transfer, intercompany transfers, pre-close steps), managed contract novation across customer, supplier, licensing, and financing agreements, and handled IP separation
  • Identified transferring employees, supported works council/union consultations, designed compensation & benefits, built a key talent retention strategy, and set up standalone HR, payroll, and benefits
  • Inventoried applications, data, infrastructure, and licenses, and supported the clone, migration, and rebuild of systems

Day 1 Readiness

  • Catalogued every service from parent to NewCo, covering scope, duration, pricing, and exit plan
  • Built the communication strategy for customers, suppliers, regulators, investors, and employees, plus Day 1 checklist and tracking
